Referral Program Terms & Conditions

1. Acceptance of Terms

These Referral Program Terms & Conditions (“Terms”) govern participation in the referral program offered by Kinley Financial Professionals Ltd. (“Kinley Financial”, “we”, “our”, or “us”).

These Terms are updated frequently. It is the responsibility of the referring party (“Referrer”) to regularly review this policy for changes, updates, or additions. Changes will be denoted by the updated “Last Updated” date displayed at the top of this page.

By submitting a referral registration form through Kinley Financial Professionals Ltd., the Referrer acknowledges and agrees to these Terms and Conditions.

If the Referrer has any questions or concerns regarding this policy, they must contact Kinley Financial prior to submitting a referral.

The Terms and Conditions in effect at the date of referral payment shall govern the referral and not the Terms in effect at the date of referral submission.

2. Referral Program Discretion

Kinley Financial maintains full authority and discretion to verify the validity of any referral submitted under this program.

Kinley Financial reserves the right to reject, deny, invalidate, or refuse any referral payment for any reason, including but not limited to:

  • Inability to verify the referral;
  • Belief that the referral does not meet the conditions of this policy;
  • Missing or inaccurate information;
  • Suspected misuse or abuse of the referral program; or
  • Any circumstance where Kinley Financial determines, at its sole discretion, that the referral does not qualify.

Kinley Financial Professionals Ltd. is not under any contractual obligation to provide referral payments. Referral payments are made solely at the discretion of Kinley Financial where a referral is determined to be valid and compliant with these Terms.

Kinley Financial is not required to provide proof, explanation, evidence, or communication regarding the denial or rejection of a referral payment.

3. Referral Registration Requirements

All referrals must be submitted exclusively online through the official referral registration form located at:

Referrals submitted:

  • By phone;
  • By email;
  • In person;
  • Through social media; or
  • Through the referred individual or business directly

will not be accepted.

A customer or referral recipient may not register the individual who referred them after the referral has already contacted Kinley Financial or after Kinley Financial has already contacted them.

A referral must be registered online prior to any communication between the Referral and Kinley Financial.

4. Existing Clients, Leads, and Marketing Contacts

To qualify:

  • The Referral must not currently be, or previously have been, a customer of Kinley Financial;
  • The Referral must not have previously inquired about any Kinley Financial products or services;
  • The Referral must not already exist within Kinley Financial’s CRM, marketing databases, prospecting lists, advertising audiences, or client records;
  • The Referral must not already be part of any direct or indirect advertising, prospecting, or sales initiative conducted by Kinley Financial.

A qualifying referral must be an individual or business that Kinley Financial reasonably believes it would not have otherwise discovered, contacted, or obtained without the Referrer’s involvement.

Kinley Financial does not split referrals. If multiple Referrers submit the same Referral, only the first valid submission received shall be eligible for consideration.

5. Referral Timing and Eligibility

A referral does not qualify simply because a Referrer tells another individual or business to contact Kinley Financial.

The Referral must be properly registered online prior to:

  • The Referral contacting Kinley Financial; or
  • Kinley Financial contacting the Referral.

Failure to register the Referral beforehand will result in the referral being deemed invalid and void.

6. Accuracy of Information

Missing, inaccurate, incomplete, misleading, or incorrect information may result in the referral being invalidated and voided.

The Referrer must provide:

  • Accurate contact information for themselves;
  • Accurate information regarding the Referral; and
  • Any required business information, where applicable.

If Kinley Financial is unable to contact the Referrer due to inaccurate or incomplete information, the referral payment may be forfeited.

A Referral may only be registered once. Duplicate submissions do not increase referral ownership, payment entitlement, or priority. Referral ownership is permanently assigned to the information submitted in the first valid registration and cannot be changed afterward.

7. Referral Payment Conditions

Referral payments are only made when:

  • A qualifying Referral purchases qualifying products or services directly from Kinley Financial; and
  • Kinley Financial determines the referral qualifies under these Terms.

Referral payments are:

  • One-time payments only;
  • Limited to the Referral’s initial qualifying purchase;
  • Not recurring;
  • Not based on renewals, future purchases, policy changes, upgrades, annuities, future commissions, or future business value;
  • Not payable for indirect purchases or purchases through third parties.

Kinley Financial does not pay for the act of providing referral information alone.

8. Referral Payment Methods

Kinley Financial maintains full authority, discretion, and control regarding referral payment amounts and accepted methods of payment.

Accepted forms of referral payment may include:

  • Company credit toward products or services offered by Kinley Financial;
  • Gift cards; or
  • Cheque payments.

Kinley Financial reserves the right to determine the method of payment at its sole discretion.

9. Commercial Clients – Definition and Referral Payments

Definition

A “Commercial Client” is defined as a registered Canadian corporation, whether public or private, that purchases qualifying commercial or corporate financial products directly from Kinley Financial.

Qualifying commercial products may include:

  • Immediate Financing Arrangements (IFA);
  • Corporate Universal Life Insurance Policies; and
  • Corporate Whole Life Insurance Policies.

Registration Requirements

To qualify as a Commercial Client referral, the Referrer must submit:

  • The full legal name of the business;
  • The accurate full name of a decision-making individual at the business;
  • Accurate contact details for that individual, including phone number and email address.

Commercial Referral Payments

Kinley Financial may pay referral amounts ranging from $500 to $50,000 CAD for qualifying Commercial Client referrals.

Referral payment amounts are determined solely at the discretion of Kinley Financial and may depend on factors including:

  • Quality and completeness of information provided;
  • Qualification of the Referral;
  • Products or services purchased;
  • Number of products or services purchased; and
  • Total net value generated to Kinley Financial.

10. Personal Solutions Clients – Definition and Referral Payments

Definition

A “Personal Solutions Client” is defined as an individual Canadian citizen who purchases qualifying personal financial or insurance products directly from Kinley Financial.

Qualifying products and services may include:

  • Individual Universal Life Insurance;
  • Individual Whole Life Insurance;
  • Individual Term Life Insurance;
  • TFSA;
  • FHSA;
  • RESP; and
  • RRSP products or services.

Personal Solutions referrals apply only to:

  • The individual specifically referred; or
  • That individual’s proportional portion of a family or joint policy.

The referral does not extend to:

  • Spouses;
  • Family members;
  • Joint account holders;
  • Related businesses; or
  • Additional individuals who later purchase products or services from Kinley Financial.

Personal Solutions Referral Payments

Kinley Financial may pay referral amounts of up to $500 CAD for qualifying Personal Solutions Client referrals.

Referral payment amounts are determined solely at the discretion of Kinley Financial and may depend on factors including:

  • Quality and completeness of information provided;
  • Qualification of the Referral;
  • Products or services purchased;
  • Number of products or services purchased; and
  • Total net value generated to Kinley Financial.

11. Limitation of Liability

Kinley Financial shall not be liable for:

  • Lost referral opportunities;
  • Denied referral payments;
  • Technical errors;
  • Delayed submissions;
  • Website interruptions;
  • Incorrect information submitted by Referrers; or
  • Any direct, indirect, incidental, or consequential damages related to participation in the referral program.

12. Modification or Termination of Program

Kinley Financial reserves the right to:

  • Modify these Terms at any time;
  • Change referral payment structures;
  • Suspend referral payments;
  • Terminate the referral program; or
  • Refuse participation by any individual or organization,

without notice and at its sole discretion.

13. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein.

Any disputes arising from this referral program shall be subject to the exclusive jurisdiction of the courts located in Alberta, Canada.
